Terms of Use
Last updated: [date]
These Terms of Use (“Terms”) govern your access to and use of the Mogpharm platform and website (the “Service”), provided by [Legal Entity Name], trading as Mogpharm. By using the Service you agree to these Terms. If you use the Service on behalf of a pharmacy or organisation, you confirm you have authority to bind it.
1. The Service
Mogpharm is a software platform that helps UK pharmacies manage governance, standard operating procedures, controlled-drug records, incidents, mock inspections, training and reporting. We may also offer optional professional services (for example mock inspections or SOP support), which are provided under separate arrangements.
2. Accounts and eligibility
The Service is for pharmacy professionals and organisations. You are responsible for the accuracy of your account details, for keeping your credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.
3. Acceptable use
- Do not use the Service unlawfully or to store data you have no right to store.
- Do not attempt to access other organisations’ data or circumvent security.
- Do not disrupt, reverse-engineer, or misuse the Service or its infrastructure.
- Do not upload malicious code or content that infringes third-party rights.
4. Your data and responsibilities
You retain ownership of the data you upload. You are responsible for ensuring you have a lawful basis to process any personal data (including staff and patient-safety information) you enter, and for the accuracy of your records. Our processing of that data is governed by our Data Processing Agreement and Privacy Policy.
5. Professional responsibility — important
Mogpharm is a supporting tool. It does not replace the professional judgement of a responsible or superintendent pharmacist, and it does not guarantee any regulatory outcome. Responsibility for meeting GPhC standards and all other legal and regulatory obligations remains with you and your pharmacy at all times.
6. Availability and changes
We aim to provide a reliable Service but do not guarantee uninterrupted availability. We may update, add, or remove features, and will give reasonable notice of material changes where practical. [Any service-level commitments will be set out in your order or subscription terms.]
7. Fees
Where the Service is provided on a paid plan, fees, billing and renewal terms are those set out at sign-up or in your order. [Pricing and plan details to be confirmed.]
8. Intellectual property
The Service, including its software, design and content, is owned by [Legal Entity Name] or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your pharmacy’s internal purposes for the duration of your access.
9. Disclaimers and limitation of liability
The Service is provided “as is” to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, and our total liability is limited to [the fees paid in the preceding 12 months / an amount to be confirmed].
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or where required by law. On termination, data handling follows the Data Processing Agreement.
11. Governing law
These Terms are governed by the laws of [England and Wales], and the courts of [England and Wales] have exclusive jurisdiction, without affecting your statutory rights.
